*If You are a United States public sector agency or government institution located in the United States, the laws of the primary jurisdiction in which You are located will govern the EULA and any disputes arising from it. For U.S. Federal Government users, this EULA will be controlled and construed under the laws of the United States of America.

U.S. Government End Users. The ABBYY Software and Documentation are deemed to be “Commercial Items”, as that term is defined at 48 C.F.R. §2.101, consisting of “Commercial Computer Software” and “Commercial Computer Software Documentation”, pursuant to 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. Consistent with 48 C.F.R. §12.212 or 48 C.F.R. §227.7202-1 through 227.7202-4, as applicable, All U.S. Government end users acquire the ABBYY and Documentation with only those rights set forth in this EULA. Any provisions that are inconsistent with federal procurement regulations are not enforceable against “Commercial Items”. Unpublished rights reserved under the copyright laws of the United States.

**All disputes arising out of or in connection with the EULA shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by three arbitrators appointed in accordance with the said Rules. The place of arbitration shall be New York, NY, US. The language to be used in the arbitral proceedings shall be English. No award or procedural order made in the arbitration shall be published. The foregoing shall be without prejudice to the right of ABBYY to seek injunctive relief or other non-monetary relief before any court in any place where any unauthorised use of its intellectual property rights, Confidential Information or trade secrets occurs or threatens to occur.
